PNGAS Bylaws

Bylaws of the Pennsylvania National Guard Association (PNGAS)

Overview

The Pennsylvania National Guard Association (PNGAS) is committed to supporting, advocating for, and strengthening the Pennsylvania National Guard, its members, veterans, and families. Established as a nonprofit membership corporation under Section 501(c)(6) of the Internal Revenue Code, PNGAS operates with a clear mission: to enhance readiness, professional development, and welfare through legislative action, community partnerships, and educational initiatives.

Version 5.0 of the PNGAS Bylaws, adopted in 2025 at Fort Indiantown Gap, Annville, Pennsylvania, represents a refined framework designed to ensure transparent governance, fiscal responsibility, and effective advocacy. These bylaws outline the organizational structure, membership rights, and operational procedures that guide PNGAS in fulfilling its objectives. They reflect the Association's dedication to ethical standards, member engagement, and collaboration with national entities such as the National Guard Association of the United States (NGAUS) and the Enlisted Association of the National Guard (EANGUS).

Purpose and Objectives

The bylaws articulate PNGAS's core purpose: to promote the interests of the Pennsylvania National Guard without allowing net earnings to benefit private individuals, except for reasonable compensation. Key objectives include:

  • Advocacy and Legislation: Educating government officials and the public on the National Guard's role while promoting supportive policies.
  • Professional Development: Fostering education and leadership opportunities for Guard members.
  • Community Awareness: Enhancing public understanding of the Guard's service and heritage.
  • Collaborative Support: Partnering with state and national military organizations.
  • Historical Preservation: Documenting and showcasing Guard achievements.
  • Membership Growth: Expanding benefits and programs for members.

These elements ensure PNGAS remains a vital resource for the Guard community, aligned with nonprofit principles and applicable laws.

Membership Categories and Benefits

PNGAS provides the following membership categories, each with specific descriptions and associated rights and privileges:

  • Active (Officer and Enlisted): Currently serving members of the Pennsylvania Army or Air National Guard. These members enjoy full voting rights, the ability to hold office, and service on committees.
  • Retired/Life: Former members eligible for retired status. These members enjoy full voting rights, the ability to hold office, and service on committees.
  • Associate: Individuals supportive of the mission but ineligible for active membership. These members may serve in advisory roles without voting rights.
  • Corporate: Businesses or organizations aligned with Guard support. These members may serve in advisory roles without voting rights.
  • Honorary: Distinguished individuals recognized for exceptional service. These members have non-voting status.
  • Complimentary: Newly commissioned or appointed Guard members for their first year of service. These members receive introductory access to benefits.

Membership dues, adjustable with member approval, support enhanced services, including technological solutions for communication and knowledge management. Active and Retired/Life members in good standing enjoy comprehensive participation rights, fostering a collaborative environment.

Governance and Leadership

The bylaws establish a robust Board of Directors, comprising enlisted and officer representatives, retirees, and executive roles such as Chair, Vice Chair, Secretary, and Treasurer. This structure ensures balanced representation from Army and Air units, with a leadership succession plan alternating between enlisted and officer chairs every two years.

The Executive Committee handles interim decisions, while standing committees—Finance, Audit and Compliance, Governance and Bylaws, Government Affairs, Membership and Awards, and Air/Army Resolutions—oversee specialized functions. An Advisory Council of past leaders provides institutional continuity.

Meetings are held quarterly for membership and monthly for the Board, emphasizing training and efficiency. All operations adhere to Robert’s Rules of Order, promoting orderly and inclusive decision-making.

Financial and Ethical Standards

PNGAS maintains fiscal integrity through adherence to Generally Accepted Accounting Principles (GAAP). The annual budget requires Board approval, with expenditures over $10,000 necessitating a vote. Independent audits ensure transparency, and financial reports are available to members annually.

Ethical guidelines mandate integrity, conflict-of-interest disclosures, and whistleblower protections. Indemnification policies safeguard officers and directors acting in good faith, underscoring the Association's commitment to accountability.

Amendments and Continuity

Bylaws may be amended with Board proposal and two-thirds membership ratification, ensuring adaptability while preserving core principles. In emergencies, provisions extend terms and authorize electronic meetings to maintain operations.
